OVERVIEW

Ernest is admitted as a solicitor of the High Court in Hong Kong and a solicitor of the Supreme Court of England and Wales.  He graduated from The University of Hong Kong and obtained his Bachelor of Laws degree in 1999, Postgraduate Certificate in Laws (PCLL) in 2000 and Master of Laws (Chinese Law) in 2004, respectively.  He also was awarded by the Hong Kong Securities Institute with the Specialist Certificate (Corporate Finance) in 2004 and was selected by Asia Laws in 2018 as a leading lawyer in Corporate/ M&A.

 

Ernest has started working in several large and reputable law firms since 2000.  During the past 20 years, his areas of practice include general commercial and corporate matters, IPOs, mergers and acquisitions, and compliance matters of listed companies under the listing rules of the Hong Kong stock exchange.

WORK HIGHLIGHTS

Capital Markets

  • Acting for the largest gold mining company in China in connection with  its listing on the main board of Hong Kong stock exchange and subsequently a dual listing of its shares on Shanghai Stock Exchange.  The total funds raised exceeded RMB10 billion. acting for the largest gold mining company in China in connection with its listing on the main board of Hong Kong stock exchange and subsequently a dual listing of its shares on Shanghai Stock Exchange. The total funds raised exceeded RMB10 billion.

  • Acting for the largest PRC wind power transmission equipment manufacturer in connection with its global offering and its listing on the main board of the Hong Kong stock exchange sponsored by  Morgan Stanley.

  • Participating in the listing of various PRC financing companies, including a bank, a futures company and a money lender.

  • Participating in the spin-off of a subsidiary of A share listed company by way of H share listing.

  • Representing a biotech laboratory equipment provider (being a Singaporean listed company) in connection with its dual listing in Hong Kong.

  • Acting for an entertainment group in connection with the listing of disco on the main board of the Hong Kong stock exchange.

  • Acting for the sponsor in connection with the listing of a new energy equipment manufacturer on the main board of the Hong Kong stock exchange.

  • Acting for the property developer based in Fujian and Jiangsu in connection with its global offering and the listing on the main board of the Hong Kong stock exchange jointly sponsored by Merrill Lynch and Deutsche Bank.

  • Acting for a UK manufacturing group in connection with its global offering and listing of the main board of the Hong Kong stock exchange sponsored by Morgan Stanley.

  • Acting for the sponsor to the integrated information communication solution provider in connection with its listing on the main board of the Hong Kong stock exchange.

  • Acting for a shipping company in Southern china in connection with its listing on the main board of the Hong Kong stock exchange.

  • Acting for the sponsor to a watch manufacturer in connection with its GEM listing.

  • Acting for the sponsor to the GEM listing of a H share company being engaged in provision of medical equipment.

 

Cross-border mergers and acquisitions and private equity transactions

  • Representing largest PRC wind power transmission equipment manufacturer in connection with issue of its RMB denominated bonds coupled with sophisticated equity swap arrangement.

  • Representing the largest gold mining company in the PRC in connection with acquisition of a UK listed company by way of general offer, an Australian listed company by way of general offer, making substantial equity investment in the Toronto listed company and more than 10 mergers and acquisitions in various overseas countries (including the mining companies based in Tajikistan, Philippines, South Africa, Peru, Papua New Guinea, Russia and Serbia).

  • Acting for a listed non-ferrous mining company in connection with the general offer from a large state owned enterprise.

  • Representing the largest shareholder of a red chip listed company in connection the general offer by way of share swap by another listed company.

  • Representing a Japanese investor in connection with acquisition of a red-chip listed company.

  • Acting for the buyer in connection with acquisition of the largest PRC vacuum cleaner manufacturer.

  • Acting for US blue chip company in connection with the subscription of  warrants from a GEM listed company and whitewash waiver application.

  • Representing an investor in connection with subscription of the convertible bonds of US$200 million in one of the largest mining companies in the world headquartered in Switzerland.

  • Acting for a red-chip company in connection with the issue of pre-IPO   convertible bonds to 13 well known private equity investors.

  • Acting for a state owned enterprise in connection with the issue of RMB denominated bond of aggregated amount of RMB4.5 billion in Hong Kong.

  • Acting for largest state development fund for its investment in a redchip company.

  • Acting for a large insurance company in connection with its HKD1 billion bond investment in a property developer.
